1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Remedic Data & AI website and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

"We", "our", or "us" refers to Remedic Data & AI, a UK-based consultancy. "You" refers to the individual or entity using our Services.

2. Services Provided

Remedic Data & AI provides:

  • Consulting Services: Data analysis, dashboard creation, automation, and AI solutions on a project or retainer basis.
  • SaaS Products: Subscription-based software tools (e.g., Support Worker Companion) designed to support specific workflows.

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this requirement.

4. Account Registration (for SaaS Products)

To use certain Services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorised use
  • Accept responsibility for all activities under your account

5. Subscription Terms (SaaS Products)

5.1 Billing and Payment

Subscription fees are billed monthly or annually, depending on the plan you select. Payment is due at the start of each billing period. We accept payment via credit/debit card or other approved methods.

5.2 Free Trials

We may offer free trials for certain products. At the end of the trial period, you will be charged the applicable subscription fee unless you cancel before the trial ends.

5.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months or years, except where required by law or at our sole discretion.

5.4 Price Changes

We reserve the right to change subscription prices at any time. We will provide at least 30 days' notice of any price increase. Continued use of the Services after a price change constitutes acceptance of the new price.

6. Consulting Services

For consulting services (Quick Audit, Build & Automate, Ongoing Support):

  • Services are subject to a separate Statement of Work or proposal
  • Payment terms will be specified in the proposal
  • Deliverables and timelines are as agreed in writing
  • Either party may terminate a project with written notice, subject to payment for work completed

7. Acceptable Use

You agree not to:

  • Use our Services for any unlawful purpose
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Transmit viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble our software
  • Use our Services to harass, abuse, or harm others
  • Share your account credentials with unauthorised users

8. Intellectual Property

8.1 Our IP

All content, software, trademarks, and materials provided through our Services are owned by or licensed to Remedic Data & AI. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8.2 Your Content

You retain ownership of any data, content, or materials you upload to our Services ("Your Content"). By using our Services, you grant us a limited licence to use Your Content solely to provide and improve the Services. We will not use Your Content for any other purpose without your consent.

9. Data Protection

We process your personal data in accordance with our Privacy Policy. For SaaS products, we act as a data processor on your behalf. You are responsible for ensuring your use of our Services complies with applicable data protection laws (e.g., UK GDPR).

10. Disclaimers and Limitations of Liability

10.1 No Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or secure.

10.2 Decision-Support Only

Our Services, including SaaS products, are designed as decision-support tools. They do not replace professional judgement, clinical assessment, or legal advice. You are solely responsible for decisions made using our Services.

10.3 Limitation of Liability

To the fullest extent permitted by law, Remedic Data & AI shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our Services. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Remedic Data & AI from any claims, damages, or expenses arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.

12. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, including for breach of these Terms. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (e.g., intellectual property, limitation of liability) will continue to apply.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the new Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements (e.g., Statements of Work), constitute the entire agreement between you and Remedic Data & AI regarding the Services.
